Commercial licence

The terms, in full, before you ask for a quote.

One fee per company, perpetual rights to every version delivered while maintenance is paid, the source delivered with it, and no runtime licence check. The signed agreement carries these terms and the price.

In short

Which licence you need, AGPL-3.0 or commercial, is on the licensing page.

Who signs the commercial licence?

The Licensor named in the signed agreement and your company as Licensee. Rights under the commercial licence arise from that signed agreement, which prevails over this page, and a certificate issued with it is your record of entitlement.

Which versions does it cover?

Every version delivered while your maintenance is paid. The one-time fee includes the version delivered with it and the first twelve months of maintenance; the right to use and ship every version delivered during a paid term is perpetual and survives the end of that term.

What happens to my product if maintenance stops?

Nothing you have already shipped is touched. Lapsed maintenance stops new versions and support; it does not revoke anything. The Software is delivered in source and binary form, you may modify and build it yourself, and it contains no licence key, no phone-home and no time bomb.

Can my customers and distributors redistribute it inside my product?

Yes. You may give your customers and end users, directly or through distributors and application stores, the rights they need to use your products in object code form. Contractors may use your rights to build your products.

"Licensor" is Sytek Electro SRL (Str. Paraului 2B, 400651 Cluj-Napoca, Romania; CUI 36734431, J2016004065121), the holder of the copyright in Sipral. "Licensee" is the company named in the signed agreement. "Software" is Sipral in source and binary form, as delivered. Rights under the commercial licence arise only from that signed agreement, which prevails over this page.

1. Grant

The Licensor grants the Licensee a worldwide, non-exclusive, non-transferable right to use, modify, compile, link and distribute the Software as part of the Licensee's own products, in source or binary form, including through application stores. The Licensee may grant its customers and end users, directly or through distributors and application stores, the rights in the Software they need to use the Licensee's products, in object code form and under terms no less protective of the Licensor than these. Contractors acting on the Licensee's behalf may exercise the Licensee's rights solely to build the Licensee's products.

The grant covers the Licensee and its wholly owned subsidiaries. It does not extend to selling the Software on its own, or to distributing the Software, or a product that exposes the Software's own programming interface to third parties, as a development kit, unless the signed agreement says so.

2. What is not counted

No royalties. No per-seat, per-device, per-channel or per-call fee. No revenue share. No cap on the number of products, builds or end users. No NDA is required to receive these terms, and no audit right is claimed over the Licensee's systems.

3. Term

One fee per company, paid once, plus an annual maintenance fee. The one-time fee includes the first twelve months of maintenance, and the version delivered with it.

The right to use and ship every version delivered during a paid maintenance term is perpetual, and survives the end of that term. Lapsed maintenance stops new versions and support; it does not revoke anything already shipped.

Maintenance covers new releases, security fixes and the support channel agreed in writing.

4. Source disclosure

The Licensee is under no obligation to publish source, its own or the Software's. Software licensed under this licence is not licensed under the AGPL-3.0, and no term of the AGPL-3.0, section 13 included, applies to it.

5. Attribution

The Licensee ships THIRD-PARTY-LICENSES.txt, or an equivalent notice screen, with its binaries. That covers the permissively licensed components inside Sipral and is required by their own licences, not by this one. No attribution to Sipral itself is required in the Licensee's user interface.

6. Trademark

This licence grants no rights in the name Sipral or in its marks.

7. Contributions

Contribution is not a condition of this licence. Code from outside the project is accepted only under a contributor licence agreement.

8. No runtime enforcement

The Software contains no licence key check, no phone-home and no time bomb, and none will be added. Entitlement is evidenced by the signed agreement and the certificate issued with it, which exist for the Licensee's records.

9. Warranty and liability

The Software is provided with the warranty stated in the signed agreement. Absent such a statement it is provided as is, without any implied warranty.

Except for liability that the applicable law does not allow to be limited, including liability for intent or gross negligence and liability to injured persons under product liability law, the Licensor's aggregate liability under or in connection with this licence is limited to the greater of the one-time licence fee and the fees paid in the twelve months preceding the claim. Neither party is liable for indirect or consequential loss, loss of profit or loss of data.

10. Patents

This licence grants no rights under any third party's patents, and nothing in it is a representation that the Software, or any codec it contains, is free of patent claims. The patent position of the Opus codec, including a patent pool that names IP telephones among the products it pursues, is set out in the third-party notices delivered with the Software. Whether to build with Opus is the Licensee's decision.

11. Termination

This licence terminates if the Licensee materially breaches it and does not cure the breach within 30 days of written notice. On termination the Licensee stops distributing the Software, in any version. Copies distributed before termination, and the rights of customers and end users to use them, are not affected.
